These Terms and Conditions ("Terms") govern your access to and use of the MASA website and apps, including Round Robin Lead Assignment and the Round Robin Calendar Meeting Scheduler (the "Service"), operated by Marketing & Sales Automation ("MASA", "we", "us"). By creating an account, starting a trial, or using the Service, you agree to these Terms. If you do not agree, please do not use the Service.
The service
MASA provides lead routing and meeting scheduling tools that run inside HubSpot. The features, limits, and pricing of each plan are described on our website and may change over time.
Accounts and eligibility
You need a HubSpot account and a MASA account to use the Service. You are responsible for the accuracy of your account details, for keeping your credentials secure, and for activity that happens under your account. You must be able to enter into a binding contract to use the Service.
Free trial
New accounts can start a 30-day free trial. No credit card is required to begin. During the trial you can connect your HubSpot portal and use the Service. When the trial ends, you can subscribe to keep using paid features, otherwise access to those features stops.
Subscriptions and billing
Paid plans are billed in advance on a recurring basis, monthly or annually, through our payment processor, Stripe. By subscribing, you authorize us to charge your payment method for the plan you choose until you cancel. Prices are shown on the pricing page and may change for future billing periods. You are responsible for any applicable taxes. Annual plans may include the discount shown at checkout.
Refunds
Refunds are handled under our Refund Policy. In short, you can request a refund within 30 days of purchase by opening a support ticket, subject to the exceptions listed there. Custom development work is non-refundable. Please read the full Refund Policy for the details.
Acceptable use
You agree not to:
- use the Service to break the law or infringe anyone's rights;
- resell, sublicense, or expose the Service to third parties except as intended;
- attempt to disrupt, reverse engineer, or gain unauthorized access to the Service;
- use the Service to send spam or to handle data you have no right to process.
We may suspend or limit accounts that put the Service or other users at risk.
HubSpot and third-party services
The Service depends on HubSpot and other third-party services, such as your connected calendars and our payment processor. Your use of those services is governed by their own terms, and we are not responsible for their availability or actions. If your HubSpot access changes or is revoked, parts of the Service may stop working.
Your data
You own your data. You grant us permission to process it only to provide and improve the Service. How we handle personal data is described in our Privacy Policy. You are responsible for having the right to process the contact and lead data you route through the Service.
Intellectual property
The Service, including its software, design, and content, belongs to MASA and its licensors. These Terms do not transfer any of our intellectual property to you. You may not copy, modify, or create derivative works from the Service except where the law allows it.
Service availability and warranties
We work to keep the Service reliable, but it is provided "as is" and "as available," without warranties of any kind to the extent permitted by law. We do not warrant that the Service will be uninterrupted, error-free, or fit for a particular purpose.
Limitation of liability
To the extent permitted by law, MASA is not liable for indirect, incidental, or consequential damages, or for lost profits or data, arising from your use of the Service. Our total liability for any claim is limited to the amount you paid us for the Service in the 12 months before the claim.
Termination
You can stop using the Service and cancel your subscription at any time. We may suspend or end your access if you breach these Terms or use the Service in a way that creates risk. When access ends, your right to use the Service ends with it. Sections that should survive by their nature, such as billing, intellectual property, and liability, continue to apply.
Changes to these terms
We may update these Terms from time to time. When we make material changes, we will update the date above and, where appropriate, let you know. Continuing to use the Service after changes take effect means you accept the updated Terms.
Governing law
These Terms are governed by the laws of the Province of Alberta and the federal laws of Canada that apply there, without regard to conflict-of-law rules.
